Terms of Service

HandOff is an Agentic AI multi-agent workflow platform. These Terms reflect current features such as chat, Tasks, agents, approvals, artifacts, connectors, and Beta-stage operation.
Article 1 (Purpose)
These Terms set out the conditions and procedures for using HandOff (the "Service") provided by ITROUNDER (the "Company"), and the rights, obligations, and responsibilities between the Company and users.
Article 2 (Definitions)
1. "Service" means the Agentic AI multi-agent workflow platform provided via the Company's websites (including hand-off.work). 2. "User" means an individual or company that agrees to these Terms and uses the Service. 3. "Workspace" means the space where a user manages agents, Tasks, artifacts, and settings. 4. "Agentic AI" or "Agent" means an AI execution unit that plans, calls tools, and runs work based on a user request. 5. "Task" means a work unit covering request analysis, planning, approval, execution, and result records. 6. "Artifact" means documents, files, logs, and other outputs created or stored during Task execution. 7. "Connector/Skill" means external integrations, tools, MCP servers, and custom capabilities.
Article 3 (Effect and Changes)
1. These Terms take effect when posted or linked on the Service. 2. The Company may amend these Terms within the limits of applicable law and will provide advance notice of the effective date and changes. 3. Continued use after the effective date constitutes acceptance of the amended Terms.
Article 4 (Service Scope)
The Service may include: 1. Chat-based request intake and execution-plan proposals 2. Multi-agent organization setup, role assignment, and skill/tool connections 3. Taskboard management, approvals (Inbox), and Automation 4. Tool execution in sandbox or host environments and artifact storage 5. Dashboard, settings, and permission/connector management 6. Personal and company account workspaces The Company may add, change, or discontinue features to improve quality, stability, or legal compliance.
Article 5 (Registration and Accounts)
1. Users may register after providing required information (such as email) and agreeing to the Terms and Privacy Policy. 2. Authentication is performed by methods designated by the Company, including email magic links (OTP). 3. Users must provide accurate information and are responsible for account and authentication security. 4. Accounts created with another person's information or false data may be restricted.
Article 6 (User Obligations)
Users must not: 1. Violate laws, these Terms, or operating policies 2. Input, generate, or distribute content that infringes others' rights 3. Use agents or sandboxes for malware, unauthorized access, attacks, or spam 4. Probe vulnerabilities as an excuse for attacks or create excessive load 5. Share/transfer accounts, reverse engineer, or make abusive API calls 6. Misuse Beta features as the sole control for critical production systems without safeguards
Article 7 (AI Outputs and Responsibility)
1. The Service may use large language models and other AI to generate plans, documents, code, and analyses. 2. AI outputs are for reference and are not guaranteed to be accurate, complete, or lawful. 3. Users are responsible for reviewing and approving plans and artifacts before acting on them, especially for external sends, payments, contracts, legal, or accounting decisions. 4. Users are generally responsible for their inputs, connected systems, and results after approval.
Article 8 (Beta Service)
The Service may be in Beta. During Beta, some features may be unstable, change, or stop working, and data loss, execution failures, or UI/workflow changes may occur. Users should keep backups and verification steps for important work.
Article 9 (Paid Plans)
If paid plans are offered in addition to a free plan, fees, payment, refunds, and cancellation follow a separate pricing policy or contract. Enterprise internal deployments are handled under separate agreements.
Article 10 (Intellectual Property)
1. Rights in the Service software, UI, trademarks, logos, and documentation belong to the Company or rightful owners. 2. Users retain rights in their original input data. 3. Users grant the Company a license to use content as needed to provide, improve, secure, and debug the Service. Use of customer content as training data for other customers requires separate notice or consent.
Article 11 (Suspension and Termination)
The Company may restrict or terminate accounts for Terms violations, security threats, prolonged inactivity, or legal obligations. Users may stop using the Service and request account deletion at any time. Data handling follows the Privacy Policy.
Article 12 (Disclaimer)
To the extent permitted by law, the Company is not liable for damages caused by force majeure, network failures, outages of external AI/cloud providers, user fault, or unavoidable Beta-stage errors. Except for willful misconduct or gross negligence, the Company is not liable for indirect, special, or business losses.
Article 13 (Governing Law)
These Terms are governed by the laws of the Republic of Korea. The court with jurisdiction over the Company's principal place of business shall be the court of first instance. Mandatory local laws may prevail for overseas users.
